9/2018 - Information on the appointment of Management Board members for a new term of office

The Management Board of Trakcja PRKiI S.A. ("Company" or "Issuer") informs that on May 24, 2018, the Company's Supervisory Board adopted a resolution on the appointing the present Management Board for a new joint term of office, which will commence on the date of the General Meeting of the Company. The composition of the Management Board of the new term of office is as follows:

 

1. Mr Paweł Nogalski Vice-president of the Management Board and Chief Financial Officer

 

Mr Paweł Nogalski is a graduate of the Faculty of Economic Sciences at the University of Warsaw.

 

Previous positions and professional career:

  • 1999-2000: Warszawska Centrala Materiałów Budowlanych – Management Accounting Specialist
  • 2001-2003: Aarsleff sp. z o.o.– Financial Analyst
  • 2003-2004: Shell Polska sp. z o.o. – Business Analyst
  • 2004 – 9.06.2015: Trakcja PRKiI S.A. – financial analyst, controlling specialist, deputy operating controlling director, operating controlling director, operating director of Trakcja Group, deputy financial director (06.2013 – 11.2013, performing the obligations of the financial director)
  • since 9.06.2015 – present– Vice-president of the Management Board – Chief Financial Officer of Trakcja PRKiI S.A.

 

2. Mr Marek Kacprzak Vice-president of the Board and Director responsible for Marketing & Production Preparation

 

Mr Marek Kacprzak is a graduate of the Faculty of Building and Environmental Engineering at the Warsaw University of Life Sciences, post-graduate studies in design and modernisation of railway roads at the Warsaw University of Technology and Military University of Technology. He obtained a number of building certificates, i.a. with respect to the installation, construction and building works.

 

Previous positions and professional career:

  • 1998 – 2009: Przedsiębiorstwo Robót Komunikacyjnych – 7 S.A. (since 2008 – Trakcja Group) – works manager, site manager, contract manager, contract director
  • 2009 – 9.06.2015: Trakcja PRKiI S.A. – contract director.
  • since 9.06.2015 – present –  Vice-president of the Board and Director responsible for Marketing & Production Preparation of Trakcja PRKiI S.A.

 

3. Mr Maciej Sobczyk Vice-President of the Management Board – the Railway and Electric Power Market Director

 

Mr Maciej Sobczyk is a graduate of the Management Faculty of the Warsaw Management University and the ICAN Institute. He is an educated electrician specializing in electric traction, and holds numerous specialist electric and construction authorizations related, amongst others, with electric traction supply and multi-industry works connected with modernizations of railway lines.

 

Mr Maciej Sobczyk is associated with Trakcja PRKiI S.A. since 1983, where:

  • in the years 1983 - 2008 he has worked as: technician, foreman, works manager, construction manager
  • in the years 2009 - 2017 he was: contracts director, production director, director in charge of preparation of the railway and power markets, railway and power market director.
  • since 09.2017 – present  – Vice-President of the Management Board – the Railway and Electric Power Market Director

 

4. Mr Aldas Rusevičius Vice-President of the Management Board – Director of Baltic Markets

 

Mr. Aldas Rusevičius graduated from the Faculty of Road Maintenance and Construction at the Kaunas Polytechnic School (1986). In 1995 he obtained a Bachelor's degree in road engineering at the Vilnius Gediminas Technical University, and in 2001 a Master of Engineering degree in civil engineering at the Vilnius Gediminas Technical University.

 

Mr. Aldas Rusevičius is related to the Trakcja Group through the Issuer's subsidiary – AB Kauno tiltai, where he has been working since 1999. 

 

Previous positions and professional career:

  • 1988 – 1999 – Engineer, Technical Director, CEO at UAB Mileta
  • 1999 – 2015 – Deputy Technical Director, Technical Director, Deputy CEO at AB Kauno tiltai
  • 2008 – present – Member of the Management Board of AB Kauno tiltai
  • 2009 – 2011 – Member of the Management Board, Director of the Construction Department at AB Tiltra Group
  • 2015 – present – CEO of AB Kauno tiltai
  • 2017 – present – President of the Management Board of AB Kauno tiltai
  • since 11.2017 – present - Vice-President of the Management Board – Director of Baltic Markets of Trakcja PRKiI S.A.

 

Furthermore, Mr. Aldas Rusevičius is a member of:

 

-          the Council of the  Lithuanian Roads Association,

-          the Board of the Association of Rail Services Providers "Gelpa"

-          Council of the Vilnius Gediminas Technical University.

 

Certificates held:

 

-          certified site manager,

-          certified building supervisor,

-          certified construction project supervisor.

 

 

Each of the newly appointed Members of the Board made a statement that:

 

  • is not involved in any activity that is competitive to that conducted by the Company;
  • is not a partner in any other competitive civil partnership;
  • is not a partner in any other competitive partnership;
  • is not a member of any governing body of any other company that is competition towards the Company;
  • does not participate in another competitive legal person as a member of its governing bodies;
  • is not registered with the Register of Insolvent Debtors maintained under the Law on National Court Register.

 

 

 

Legal basis: Section 5 paragraph 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and conditions for recognizing information required by laws of non-member states (Journal of Laws of 2018, item 757).
