41/2015 - Information on appointment of Dominik Radziwiłł a Member of the Supervisory Board

The Management Board of Trakcja PRKiI S.A. ("the Company”, "the Issuer”) announces that COMSA S.A. based in Barcelona, a shareholder of the Company, acting under Article 13 paragraph 4 of the Company's Articles of Incorporation, appointed today Mr. Dominik Radziwiłł a Member of the Supervisory Board.

 

Required information related to the person appointed:

 

Dominik Radziwiłł has a university degree. He is graduated from the Applied Linguistics, Warsaw University. He is also graduated from the Paris Institute of Political Studies.

02.2009 – 07.2012 – Ministry of Finance - Undersecretary of State, Chairman of the Supervisory Board of Bank Gospodarstwa Krajowego;

2001-2006 – Dresdner Kleinwort – Vice President of the Management Board;

1998-2001 – BNP – Dresdner Bank – Vice President of the Management Board;

1996-1998 – Banque ARJIL – Director;

1992-1996 – Bankers Trust Company – Senior Associate;

1991-1992 – Partner Consulting – Consultant.

 

Mr. Dominik Radziwiłł has made a representation that:

- he is not involved in any activity that is competitive to that conducted by the Company;

- he does not run private business and does not fulfil other obligations that may result in a conflict of interest with his obligations towards the Company;

- he is not a partner to any partnership that is competition towards the company;

- he is not a partner to any civil law partnership that is competition towards the company;

- he is not a member of any governing body of any other personal company that is competition towards the Company;

- he is not a member of any governing body of any other company that is competition towards the Company;

- he does not participate in another competitive legal person as a member of its governing bodies;

- he is not registered with the Register of Insolvent Debtors maintained under the Law on National Court Register.

 

Legal basis: Section 5 paragraph 1 subparagraph 22 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognizing information required by laws of non-member states as equivalent.
