39/2015 - Information on conclusion of an amendment to a material agreement

The Management Board of Trakcja PRKiI S.A. based in Warsaw (hereinafter: ("the Company" or " the Issuer"), in reference to Current Report No. 36/2010 of 30 November 2010, hereby informs about mutual signing (by Trakcja PRKiI S.A. of Warsaw and PKP Polskie Linie Kolejowe S.A. based in Warsaw, hereinafter referred to as "PKP”) of amendment of 9 September 2015 (hereinafter: "the Amendment") to Agreement no. 90/132/336/00/17000031/10/I/I for the designing and completion of construction work at the railaway line Kraków – Medyka – State border, at the section Sędziszów Małopolski – Rzeszów Zachodni, km 133,600 – 154,900 as part of the Project "Modernization of the railway line E 30/C-E 30, section Kraków – Rzeszów, stage III”, entered into between the Issuer and PKP on 29 November 2010 (hereinafter: " the Agreement". The detailed information on the Agreement, including its value, was provided by the Company in the Current Report no. 36/2010 of 30 November 2010 and in Current Report no. 21/2014 of 22 August 2014.

Pursuant to the above mentioned Amendment of 9 September 2015, the Parties to the Agreement changed the date of completion of the Agreement and agreed that the Contractor (the Issuer) would perform the object of the Agreement, i.e. would design and perform the work, within the period of no more than 63 months from the date of commencement of the work (according to the Agreement), i.e. no later than until 14.02.2016.

Other provisions of the Agreement remain unaffected.

The criterion to deem the Agreement a material agreement was the fact that its value exceeds 10% of Company's equity.

Section 5 paragraph 1 subparagraph 3 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognizing information required by laws of non-member states as equivalent.
