28/2015 - Information on changes in the composition of the Supervisory Board of the Company

The Management Board of Trakcja PRKiI S.A. ("the Company") announces that the Annual General Meeting of Shareholders held on 25 June 2015 adopted resolutions under which the Annual General Meeting of Shareholders:

 

(i) dismissed Member of the Supervisory Board of the company Julijus Stalmokas,

 

(ii) appointed Michał Hulbój a Member of the Supervisory Board of the Company.

 

Michał Hulbój is a graduate from the Warsaw School of Economics, major of Finance and Banking (he studied in the years 1998-2003). He is a securities broker licence holder. He passed two CFA programme exams.

 

Professional background:

• 07.2005 – 02.2008: PTE PZU S.A. – stock analyst,
• 03.2008 – 05.2008: AIG PTE S.A. – stock analyst,
• 06.2008 – 10.2010: PTE PZU S.A. - stock portfolio manager
• 10.2010 – 11.2011: Skarbiec TFI – director of the stock product management office
• 02.2012 – 01.2013: Erste Securities Polska S.A. – director of the analytical office
• 02.2013 – 11.2014: Forum TFI – member of the management board, director of the asset management office
• 12.2014 – present: Cresco sp. z o.o. President of the Management Board

 

 

The newly appointed Member of the Supervisory Board made a statement that:

• he is not involved in any activity that is competitive to that conducted by the Company;
• he does not run private business and does not fulfil other obligations that may result in a conflict of interest with his obligations towards the Company;
• he is not a partner in any partnership that is competition towards the company;
• he is not a partner in any civil law partnership that is competition towards the company;
• he is not a member of any governing body of any other company that is competition towards the Company;
• he does not participate in another competitive legal person as a member of its governing bodies;
• he is not registered with the Register of Insolvent Debtors maintained under the Law on National Court Register.

 

 

In view of the above, the composition of the Supervisory Board is as follows:

• Fernando Perea Samarra
• Andrzej Bartos
• Wojciech Napiórkowski
• Michał Hulbój
