23/2015 - Information on the conclusion of the material agreement

The Management Board of Trakcja PRKiI S.A. ("Company") hereby informs that today the Company learnt about mutual signing of the annexe to the Agreement for guarantee facility up to PLN 60,000,000.00 (say: sixty million Polish zlotys), hereinafter referred to as the "Agreement", with Credit Agricole Bank Polska S.A. ("Bank").  Prior to the signing of the annexe, the amount of the guarantee facility was PLN 20,000,000.00 (say: twenty million Polish zlotys) and the period of its availability was until 30 October 2015.

Current availability period of the guarantee facility: by 30 June 2016.

Collateral:

1. assignment of receivables from trade contracts concluded by the Company to the Bank,

2. bank guarantee,

3. representation of the Company on voluntary submission to enforcement of liabilities as resulting from the Agreement according to Art. 777 § 1 of the Act of 17 November 1964 of the Civil Procedure Code (Journal of Laws 2014.101 as amended).

Other terms and conditions of the Agreement do not differ from the commonly applied terms and conditions in case of similar types of agreements.

The Agreement shall be considered material if its total value exceeds 10% of the Company’s equity.

Legal basis for the report:

§ 5 sec. 1 item 3 of the Resolution of the Minister of Finance of 19 February 2009 regarding current and periodic information published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state.
