22/2015 - Information on the changes in the composition of the Management Board of the Company - appointment of new members of the Management Board
The Management Board of Trakcja PRKiI S.A. (“Company”) hereby informs that on 9 June 2015, the Supervisory Board of the Company adopted the resolutions by virtue of which:
(i) it appointed Mr Jarosław Tomaszewski, former President of the Management Board, to assume the position of the President of the Management Board of the Company - Chief Executive Officer as of 9 June 2015.
Mr Jarosław Tomaszewski holds a degree in economics and production organisation obtained at the Faculty of Economics and Sociology at the University of Łódź (1984). He also participated in a number of training courses: management - AOTS Jokohama Japan, Gustav Kaser Training International, Promoting Leaders for Global Growth – ABB Management Development Centre, The Danish Technological Institute “Teknologisk”.
Previous positions and professional career:
- 1987–1992: Zakłady Chemiczne “Organika”, Wola Krzysztoporska – Vice Chief Accountant
- 1992-1993: Business Support Centre at the Łódź Chamber of Industry and Commerce - Financial Consultant
- 1994-1996: ABB Elmont Łódź sp. z o.o. – Financial Director, Chief Accountant
- 1996-2002: ABB Elta Łódź sp. z o.o. – Financial Director, Vice President
- 2002-2013: ELEKTROBUDOWA S.A. – Financial Director, Member of the Management Board
- 28.11.2013 – 19.02.2015: Trakcja PRKiI S.A. – Vice President of the Management Board, Financial Director
- 19.02.2015 – 9.06.2015: Trakcja PRKiI S.A. – acting as the President of the Management Board
Additionally, he acted as the member of supervisory boards in Przedsiębiorstwo Inżynierskie Biprohut sp. z o.o. and Energotest sp. z o.o.
(ii) appointed Mr Paweł Nogalski to assume the position of the Vice President of the Management Board of the Company – Financial Director as of 9 June 2015.
Mr Paweł Nogalski is a graduate of the Faculty of Economic Sciences at the University of Warsaw.
Previous positions and professional career:
- 1999-2000: Warszawska Centrala Materiałów Budowlanych – Management Accounting Specialist
- 2001-2003: Aarsleff sp. z o.o. – Financial Analyst
- 2003-2004: Shell Polska sp. z o.o. – Business Analyst
- 2004 – 9.06.2015: Trakcja PRKiI S.A. – financial analyst, controlling specialist, deputy operating controlling director, operating controlling director, operating director of Trakcja Group, deputy financial director (06.2013 – 11.2013, performing the obligations of the financial director)
(iii) appointed Mr Marek Kacprzak to assume the position of the Vice President of the Management Board of the Company – Marketing and Production Manager as of 9 June 2015.
Mr Marek Kacprzak is a graduate of the Faculty of Building and Environmental Engineering at the Warsaw University of Life Sciences, post-graduate studies in design and modernisation of railway roads at the Warsaw University of Technology and Military University of Technology. He obtained a number of building certificates, i.a. with respect to the installation, construction and building works.
Previous positions and professional career:
- 1998 – 2009: Przedsiębiorstwo Robót Komunikacyjnych – 7 S.A. (since 2008 – Trakcja Group) – works manager, site manager, contract manager, contract director
- 2009 – 9.06.2015: Trakcja PRKiI S.A. – contract director
(iv) appointed Mr Sławomir Raczyński to assume the position of the Vice President of the Management Board of the Company – Production Manager as of 9 June 2015.
Mr Sławomir Raczyński is a graduate of the Faculty of Civil Engineering at the Wrocław University of Technology. Mr Sławomir Raczyński is employed by Trakcja PRKiI S.A., and before the merger – by Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A since 1995.
Previous positions and professional career:
- 1995 – 2013: Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A. – site engineer, track works manager, vice manager in GKB Wrocław, works coordinator, deputy director in GKB Wrocław, works coordinator, deputy director in Zakład Robót Torowych, contract director
- 2013 – 9.06.2015: Trakcja PRKiI S.A. – contract director, production director
Each newly appointed Member of the Management Board represented that:
- he did not run any competitive activities with the Company;
- he did not advance any personal or private interests or perform other obligations that might be considered prejudicial to the obligations towards the Company;
- he was not a partner of any competitive partnership;
- he was not a partner of any competitive private partnership;
- he was not a member of any body of a competitive limited liability partnership;
- he was not a partner of or a shareholder in any competitive limited liability partnership;
- he did not participate in any competitive legal entity as a member of its body;
- he was not in the Register of Insolvent Debtors kept on the basis of the Act on the National Court Register.
With the above in mind, the composition of the Management Board of the Company is the following:
- Mr Jarosław Tomaszewski – President of the Management Board
- Mr Nerijus Eidukevičius – Vice President of the Management Board
- Mr Paweł Nogalski – Vice President of the Management Board
- Mr Marek Kacprzak – Vice President of the Management Board
- Mr Sławomir Raczyński – Vice President of the Management Board
