12/2015 - Appendix to Material Agreement

The Management Board of Trakcja PRKiI S.A. ("Company") hereby informs about joint signing of the Appendix to Agreement no. 90/132/281/00/11000838/10/I/I of 2 November 2010 for the Design and performance of the construction works on the railway line Cracow – Medyka – the Polish border in the section Podłęże – Bochnia in km 16,000 – 39,000 under the Project "Modernisation of railway line E 30/C-E 30, section Cracow - Rzeszów, stage 3" (hereinafter referred to as the "Agreement") concluded by and between Trakcja Polska Consortium composed of: Trakcja PRKiI S.A. and Przedsiębiorstwo Napraw i Utrzymania Infrastruktury Kolejowej w Krakowie sp. z o.o. located in Cracow (together jointly referred to as the "Contractor") and PKP Polskie Linie Kolejowe S.A. Centrum Realizacji Inwestycji ("Ordering Party"), about which Agreement the Company informed in current report no. 34/2010 of 3 November 2010 and current report no. 7/2014 of 14 March 2014.

By way of the above-mentioned Appendix, the Parties to the Agreement changed the term of execution of the Agreement and decided that the Contractor shall design and perform the works not later than by 1 November 2015. The earlier term of execution of the Agreement as stipulated in Appendix of 13 March 2014 (RB no. 7/2014) was set on 11 February 2015.

Additionally, the Management Board of the Company informs that the extension of the deadline for the performance of the works is caused by the events not due to the fault of the Contractor. The Contractor waived its right to lodge any claims against the Ordering Party as resulting from the change of the term of execution of the Agreement, except for the claims concerning the Contractor's fixed costs.

The remaining provisions of the Agreement remain unchanged.

The Agreement shall be considered material if its total value exceeds 10% of the Company’s equity.
