3/2015 - Agreement on the material agreement

The Management Board of Trakcja PRKiI S.A. ("Company", "Issuer"), in connection with the current report no. 37/2010, hereby informs about the mutual signing by Trakcja PRKiI S.A. in Warsaw, the Representative of the Consortium composed of:

1.       Trakcja PRKiI S.A., with its registered office in Warsaw,

2.       Partner:

Jan Paruch, entered into the business activity register kept by the Mściwojów Communal Office, under number: 478,

Zenon Buca, entered into the business activity register kept by the City Hall
in Jawor, under number: 4280,

Sławomir Paruch, entered into the business activity register kept by the Mściwojów Communal Office, under number: 512,

heads of Przedsiębiorstwo Budownictwa Kolejowego i Inżynieryjnego "INFRAKOL" s.c.,

3.       Partner:

Przedsiębiorstwo Napraw i Utrzymania Infrastruktury Kolejowej w Krakowie Sp. z o.o., with its registered office
 in Cracow,

jointly referred to as the "Contractor"

and

PKP Polskie Linie Kolejowe S.A. with its registered office in Warsaw of the Agreement ("Agreement") modifying the material agreement no. 90/104/121/00/17000031/10/I/I of 30 November 2010 with respect to the "Modernisation of E30 railway line, stage 2, Zabrze - Katowice - Cracow section Tender no. 1 - Modernisation of the following sections: Jaworzno Szczakowa – Trzebinia (15,810 - 29,110 km of line no. 133) Jaworzno Szczakowa – Sosnowiec Jęzor (0,000 – 6,847 km of line 134)" - "Agreement".

The Company included the detailed information on the Agreement in the current report no. 37/2010 of 30 November 2010.

The deadline for the completion of the works has been defined in the Agreement as 40 months from the date of commencement of the works.

By virtue of the signed Agreement, the Parties have changed the deadline for the completion of the works and decided that the works shall be completed by 30 June 2015.

The Parties have modified the scope of works in the following manner:

a/ Construction and installation

The Contractor shall build Section no. 1 (from 1,150 km to 6,847 km of line no. 134), excluding demolition of the switch towers and railway crossing cabins, within the scope officially allowing to obtain the permission to use Section no. 1.

 b/ Design

The Contractor shall prepare the design documents and submit appropriate applications provided for in the law with respect to the issuance of the decision on building permit by 18 February 2015 as well as draw up relevant detailed design.

The Parties have agreed that the value of the works within the modified scope shall be PLN 55,860,846.48 net.

The Agreement shall be considered material if its total value exceeds 10% of the Company’s equity.
