47/2011 - Information on appointment of a managing person

The Management Board of Trakcja - Tiltra S.A. (the “Company”) would like to inform that on 28 June 2011 the Supervisory Board of the Company adopted a resolution on the appointing for another 3-year term Mr Tadeusz Kozaczyński as Vice-President of the Management Board, as of 28 June 2011.

Previously held positions and professional career:

Mr Tadeusz Kozaczyński has a university degree.He is a graduate of Wrocław University of Economics (1996) and London School of Economics (1997).

in the years 2000-2001	Director of the Analyses Department – CAIB Securities S.A.
in the years 2001-2004	Advisor of the Management Board – AIG-CET Capital Management sp. z o.o.
from Apr to Aug 2004	Deputy chairman of the supervisory board of PKRE S.A.
from Jun to Aug 2004	member of the Supervisory Board acting as the Vice-President of the Management Board of PKRE S.A.
in the years 2004-2005	Deputy chairman of the Supervisory Board – Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A. (hereinafter: “PRKiI S.A.”)
Dec 2004	Member of the Supervisory Board acting as the Vice-President of the Management Board of PRKiI S.A.
from 2005 to Oct 2008	Vice-President of the Management Board – PRKiI S.A.
from 2007 to Sep 2009	Chairman of the Supervisory Board – Przedsiębiorstwo Robót Komunikacyjnych - 7 S.A.

In addition, Mr Tadeusz Kozaczyński holds the position of a member of the supervisory board of New Trade Solutions S.A.

 

 

According to the declaration provided, Mr Tadeusz Kozaczyński:

§  does not engage in competitive activities to the Company;

§  does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;

§  is not a shareholder of another competing partnership;

§  is not a shareholder of another competing capital company;

§  does not participate in another competing legal person as a member of its governing body;

§  is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.

 

Legal basis: § 5, paragraph1, point 22 of the Regulation of the Minister of Finance dated 19 February 2009 on the current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state (JournalOf Laws No. 33, item 259 as amended).
