29/2014 - Registration of amendments to the Company's Articles of Association and changes in the Issuer's share capital structure

The Management Board of Trakcja PRKiI S.A. ("Company", "Issuer"), with reference to current report no. 26/2014 of 16 October 2014, on the basis of the information corresponding to the valid extract from the Register of Entrepreneurs, hereby informs that on 4 November 2014, the District Court for the city of Warsaw, 12th Division of the National Court Register registered the amendments to the Company's Articles of Associations as resulting from the text of resolutions of the Extraordinary Meeting of Shareholders of the Company, which took place on 16 October 2014. Article 12 of the Articles of Association of the Company was amended. The list of the amended provisions of the Articles of Association in their wording before and after the aforesaid registration constitutes Appendix no. 1 hereto.

Due to the registration of the amendments to the Articles of Associations, the share capital of the Company is PLN 41,119,638.40 (say: forty one million one hundred nineteen thousand six hundred thirty-eight Polish zlotys forty groszy) and is divided into 51,399,548 (say: fifty-one million three hundred ninety-nine thousand five hundred forty-eight) ordinary bearer A series shares of the nominal value of PLN 0,80 (eighty groszy) each. The total number of votes as resulting from the all issued shares is currently 51,399,548 (say: fifty-one million three hundred ninety-nine thousand five hundred forty-eight).

Additionally, the Company informs that the consolidated text of the Articles of Association of the Company shall be determined in the form of a resolution of the Supervisory Board in accordance with the authorisation granted to the Supervisory Board by the Extraordinary Meeting of Shareholders of the Company pursuant to Article 430 § 5 of the Code of Commercial Companies and Partnerships.
