50/2011 - Information on appointment of a managing person

The Management Board of Trakcja - Tiltra S.A. (the “Company”) would like to inform that on 28 June 2011 the Supervisory Board of the Company adopted a resolution on the appointing for another 3-year term Mr Tadeusz Bogdan as Vice-President of the Management Board, as of 28 June 2011.

Previously held positions and professional career:

 

Mr Tadeusz Bogdan has a technical university degree. He graduated from Warsaw University of Technology, Faculty of Civil Engineering, specialisation Railways, with the title of Master of Science.

 

Previously held positions and professional career:

 

in the years 1970-1974 – Przedsiębiorstwo Robót Kolejowych nr 7 – construction engineer

in the years 1974-1975 – Zakład Badań i Doświadczeń Budownictwa Kolejowego – specialist

in the years 1975-1992 – Przedsiębiorstwo Robót Kolejowych nr 7 – holding one by one the following positions: site manager, group superintendent, team superintendent

from 1992 to 31.08.2009 – Przedsiębiorstwo Robót Komunikacyjnych 7 SA – member of the Management Board, Vice-President

from 01.09.2009 to 30.10.2009 – Trakcja Polska S.A., Railway and Construction Services Director

from 30.10.2009 until present – Vice-President of the Management Board, Railway Construction Director – Trakcja - Tiltra S.A. (previously Trakcja Polska S.A.)

 

In addition, between May 1999 and June 2002, Mr Tadeusz Bogdan held the position of the chairman of the Supervisory Board in Przedsiębiorstwo Automatyki i Telekomunikacji sp. z o.o. in Gdynia.

 

 

According to the declaration provided, Mr Tadeusz Bogdan:

§  does not engage in competitive activities to the Company;

§  does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;

§  is not a shareholder of another competing partnership;

§  is not a shareholder of another competing capital company;

§  does not participate in another competing legal person as a member of its governing body;

§  is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.

 

Legal basis: § 5, paragraph1, point 22 of the Regulation of the Minister of Finance dated 19 February 2009 on the current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state (JournalOf Laws No. 33, item 259 as amended).
