14/2014 – Information on Appointment of Managing Persons

The Management Board of Trakcja PRKiI S.A. (“Company”) hereby informs that on 15 May 2014 the Supervisory Board of the Company adopted a resolution appointing the members of the Company’s Management Board to a new three-year term as of the Company’s General Meeting of Shareholders approving the financial statements for 2013. The appointed members of the Management Board are as follows:

1. Mr. Roman Przybył, who shall act as the President of the Company’s Management Board,

2. Mr. Nerijus Eidukevičius, who shall act as the Vice-President of the Company’s Management Board,

3. Ms. Marita Szustak, who shall act as the Vice-President of the Company’s Management Board,

4. Mr. Jarosław Tomaszewski, who shall act as the Vice-President of the Company’s Management Board,

5. Mr. Stefan Dziedziul, who shall act as the Vice-President of the Company’s Management Board.

Re. 1: Mr. Roman Przybył

Required information regarding the appointed managing person:

Mr. Roman Przybył has a university degree: he graduated from a full-time course at the Warsaw University of Technology, obtaining the degree of Master of Science in Engineering. He also completed the following post-graduate courses: Investment Project Management at the Faculty of Civil Engineering, Warsaw University of Technology; Construction Expert at the Department of International Trade, Main School of Planning and Statistics (today Warsaw School of Economics); Applied Linguistics at the University of Warsaw; Financial Strategies at the University of Banking, Finance and Management; Graduate Certificate of Business Administration at a one-year full-time course at the Swinburne University in Melbourne, Australia.

He took part in numerous training sessions on management, in particular: in INSEAD in Fontainebleau, IMD in Lausanne, Instituto de Empresa in Madrid, Graduate School of Business University of Chicago, Fudan University School of Management in Shanghai.

Previously held positions and professional career:

·     in the years 1981-1985 – consecutively: site engineer, site manager in PIP Instal Warszawa,

·     in the years 1986-1987 – site manager in Mosul for Instalexport,

·    in the years 1988-1989 – contract manager in Abu Dhabi for Instalexport,

·  in the years 1990-1993 – project manager in Budimex Engineering and Construction, in particular, in the Federal Republic of Germany, South Africa and USA,

·  in the years 1994-1995 – sales director in Budimex Soft,

· in the years 1996-1997 – investment director in Creditanstalt Sankt-Gallen Fund Management,

· in the years 1998-2003 – vice-president of the management board for strategy and business development in Lafarge Gips Polska,

· in the years 2004-2011 – president of the management board and chief executive officer for Elektromontaż Poznań S.A.,

· from 4 July 2011 to 28 October 2011 – the Management Board’s Authorised Representative for Integration of the Trakcja-Tiltra Capital Group,

· from 28 October 2011 until present – Vice-President, acting for the President of the Management Board, and the President of the Management Board of Trakcja PRKiI S.A.

In addition, Mr. Roman Przybył held the position of a member of supervisory boards in a number of commercial companies, including: Lafarge Cement Polska S.A., ZPW Grajewo S.A., ZPG Dolina Nidy, Budostal-5 and Chemet.

For many years he has been elected to the position of a member of governing bodies of Polish and European industry associations. He has performed, inter alia, the following functions: president of the Polish Plaster Association, president of the Polish Electrical Installation Association, member of the management board of EUROGYPSUM and the vice-president of CEPMC – Council of European Producers of Materials for Construction with its registered office in Brussels.

Mr. Roman Przybył:

· is not engaged in any activities competitive to the Company;

· does not pursue any private interests and does not perform any other duties which would be in a conflict of interests with the duties towards the Company;

· is not a partner in another competing civil law partnership;

· is not a partner in any other competing partnership;

· is not a member in any governing body of any other competing commercial company;

· is not engaged in any other competing legal person as a member of its governing body;

· is not entered into the Register of Insolvent Debtors kept according to the Act on the National Court Register.

Re. 2: Mr. Nerijus Eidukevičius

Required information regarding the appointed managing person:

Mr. Nerijus Eidukevičius has a university degree: he graduated from the Faculty of Economics at the Vilnius University (1994).

Previously held positions and professional career:

· in the years 1993-1996: Suprema – financial broker – consultant,

· in the years 1997-1999: Hansa Invest – consultant,

· in year 2000: Deloitte & Touche – consultant,

· in the years 2001-2006: Deputy Minister of Economy of the Republic of Lithuania,

· in the years 2002-2006: president of the management board of Mażeikiu Nafta,

· in the years 2006-2008: CEO of AB Kauno Tiltai,

· in the years 2008-2011: Member of the Management Board of Tiltra Group AB,

· from 2008 until present: President of the Management Board – AB Kauno Tiltai.

· from September 2012 until present: Vice-President of the Management Board of Trakcja PRKiI S.A.

Mr. Nerijus Eidukevičius:

· is not engaged in any activities competitive to the Company;

· does not pursue any private interests and does not perform any other duties which would be in a conflict of interests with the duties towards the Company;

· is not a partner in any other competing partnership;

· is not a member in the governing body of any other competing commercial company;

· is not engaged in any other competing legal person as a member of its governing body;

· is not entered into the Register of Insolvent Debtors kept according to the Act on the National Court Register.

Re. 3: Ms. Marita Szustak

Required information regarding the appointed managing person:

Ms. Marita Szustak has a university degree: she graduated from the Civil Engineering Faculty at the Kraków University of Technology (1995). She has a degree of Master of Science in Engineering. Ms. Marita Szustak also completed the post graduate studies in marketing at the Kraków University of Economics (1997) and in management at the ICAN Institute (2010).

Previously held positions and professional career:

· in the years 1995-2005: Przedsiębiorstwo Robót Komunikacyjnych w Krakowie S.A., consecutively: construction site engineer, marketing department manager, marketing and production planning department manager, director-proxy for marketing and production planning

· from 2005 to December 2013: Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A. vice-president of the management board, director for marketing and development;

· from September 2012 until present: Trakcja PRKiI S.A. – Vice-President of the Management Board.

Since 2007, Ms. Marita Szustak has been holding a position of the vice-president of the management board of the Land Transportation Chamber of Commerce as the Chairwoman of the Civil Engineering Section and of a member of the supervisory board of Bahn Technik Wrocław Sp. z o.o. She is also a member of the supervisory board of Torprojekt Sp. z o.o. in Warsaw.

Ms. Marita Szustak:

· is not engaged in any activities competitive to the Company;

· does not pursue any private interests and does not perform any other duties which would be in a conflict of interests with the duties towards the Company;

· is not a partner in any other competing partnership;

· is not a member in the governing body of any other competing commercial company;

· is not engaged in any other competing legal person as a member of its governing body;

· is not entered into the Register of Insolvent Debtors kept according to the Act on the National Court Register.

Re. 4: Mr. Jarosław Tomaszewski

Required information regarding the appointed managing person:

Mr. Jarosław Tomaszewski has a university degree: he graduated from the Faculty of Economy and Sociology at the University of Łódź (1984) in the field of economics and production organisation.

He also participated in numerous trainings, including: management – AOTS Jokohama Japan, Gustav Kaser Training International, Promoting Leaders for Global Growth – ABB Management Development Center, Danish Technological Institute Teknologisk.

Previously held positions and professional career:

· in the years 1987-1992: Zakłady Chemiczne Organika, Wola Krzysztoporska – deputy chief accountant,

· in the years 1992-1993: Business Support Centre at the Łódź Chamber of Commerce and Industry – financial consultant,

· in the years 1994-1996: ABB Elmont Łódź – financial director/chief accountant,

· in the years 1996-2002: ABB Elta, Łódź – financial director, vice-president,

· in the years 2002-2013: ELEKTROBUDOWA S.A., Katowice – financial director, management board member

· from November 2013 until present: Vice-President of the Management Board of Trakcja PRKiI S.A.

In addition, Mr. Jarosław Tomaszewski has also held a position of a member of supervisory boards. Recently, in Przedsiębiorstwo Inżynierskie Biprohut Sp. z o.o. in Gliwice and Energotest Sp. z o.o. in Gliwice.

Mr. Jarosław Tomaszewski:

· is not engaged in any activities competitive to the Company;

· does not pursue any private interests and does not perform any other duties which would be in a conflict of interests with the duties towards the Company;

· is not a partner in any other competing partnership;

· is not a member in the governing body of any other competing commercial company;

· is not engaged in any other competing legal person as a member of its governing body;

· is not entered into the Register of Insolvent Debtors kept according to the Act on the National Court Register.

Re. 4: Mr. Stefan Dziedziul

Required information regarding the appointed managing person:

Mr. Stefan Dziedziul has a university degree: he graduated from the Electrical Faculty at the Wrocław University of Technology (1973).

Previously held positions and professional career:

· from 1971 to December 2013:

- Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych SA in Wrocław:

- from April 1973 to June 1977 – works manager at GKB Elektryfikacja

- from June 1977 to May 1990 – chief engineer at GKB Elektryfikacja

- from June 1990 to October 1994 – deputy director of GKB Elektryfikacja

- from October 1994 to December 2004 – management board member, technical director

- from December 2004 to December 2013 – president of the management board

· from November 2013 until present: Vice-President of the Management Board of Trakcja PRKiI S.A.

Mr. Stefan Dziedziul:

· is not engaged in any activities competitive to the Company;

· does not pursue any private interests and does not perform any other duties which would be in a conflict of interests with the duties towards the Company;

· is not a partner in any other competing partnership;

· is not a member in the governing body of any other competing commercial company;

· is not engaged in any other competing legal person as a member of its governing body;

· is not entered into the Register of Insolvent Debtors kept according to the Act on the National Court Register.
