96/2013 - Second notice of intention to merge

With reference to current reports nos. 85/2013 of 26 October 2013 and 86/2013 of 26 October 2013, the Management Board of Trakcja S.A., with its registered office in Warsaw (address: ul. Złota 59, 18^th floor, 00-120 Warsaw), entered into the register of entrepreneurs of the National Court Register kept by the District Court for the City of Warsaw, 12^th Commercial Division of the National Court Register under number 0000084266, with share capital of PLN 41,119,638.40 - paid up in full - ("Company", "Acquiring Company"), pursuant to Article 504 § 1 of the Code of Commercial Companies and Partnerships hereby informs the shareholders of the Acquiring Company about the intention to merge with Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A., with its registered office in Wrocław ("PRKiI"). The merger plan between the Company and PRKiI was signed and made available on the websites' of the Companies on 26 October 2013.

The shareholders may review the documents as mentioned in Article 505 § 1 of the Code of Commercial Companies and Partnerships, at the Company's registered office, from 26 October 2013 until the date on which the resolution on the merger is adopted by the General Meeting of the Company.
