94/2013 - Placement of a lien against debts of the company being a direct subsidiary of the Issuer

The Management Board of Trakcja S.A. ("Company", "Issuer") hereby informs that on 7 November 2013, a lien agreement was registered in the Lithuanian Mortgage Register, which places a lien against debts of the company being a direct subsidiary of the Issuer, belonging to the Trakcja Group - UAB "Palangos aplinkkelis", for the benefit of the lien holder - AB SEB Bankas, as resulting from the public-private partnership agreement number S-195 of 10 April 2013 concluded between UAB "Plétros investicijos" and UAB "Palangos aplinkkelis" of the first part and the Lithuanian Roads Authority at the Ministry of Communications of the second part, about which agreement the Company informed in current report no. 36/2013 of 10 April 2013.

The gross amount of assets being the object of the lien is LTL 115,951,880.00 (say: one hundred fifteen million nine hundred fifty-one thousand eight hundred eighty Lithuanian Litas), which translates into PLN 140,059,718.29 (say: one hundred forty million fifty-nine thousand seven hundred eighteen Polish zlotys 29/100).  The established lien is one of the collaterals of the liability of total amount of EUR 8,500,000.

The basis for the publication of this report shall be the fact that the value of the debts being the object of the lien exceeds 10% of the Company's equities.

The Issuer is neither equity- nor personally-related to the entity, for the benefit of which the lien was established, i.e. AB SEB Bankas.

The lien agreement was concluded in compliance with the Lithuanian law.

 

 

Legal basis: Article 56 sec. 56 point 1 and point 2 of the act on public offering and conditions of financial instruments introduction into an organised trading system and on public companies and § 5 sec. 1 point 1 of the resolution of the Minister of Finance of 19 February 2009 regarding current and periodic information published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state.
