83/2013 - Information on convening the Meeting of C-Series Bond Holders
The Management Board of Trakcja Spółka Akcyjna, with its registered office in Warsaw (address: ul. Złota 59, 18th floor, 00-120 Warsaw), entered into the register of entrepreneurs of the National Court Register kept by the District Court for the City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, under number 0000084266, with the share capital in the amount of PLN 41,119,638.40 - fully paid up (hereinafter referred to as the: "Issuer") convenes the Meeting of C-Series Bond Holders holding C-series bonds issued by the Issuer as for 29 October 2013, at 12:00 a.m. in Warsaw, at the Issuer's seat, located at ul. Złota 59, 18th floor.
The topic of the Meeting of C-Series Bond Holders shall be to adopt a resolution expressing consent for the merger of the Issuer with Przedsiębiorstwo Robót Kolejowych i Inżynieryjnych S.A., with its registered office in Wrocław, entered into the register of entrepreneurs of the National Court Register kept by the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Division of the National Court Register, under number 0000110835 ("PRKiI").
The following agenda is planned:
1. Opening of the Meeting of C-Series Bond Holders and election of the chairperson.
2. Preparation of the attendance list.
3. Statement of the validity of the convocation of the Meeting of C-Series Bond Holders and ability to adopt important resolutions.
4. Adoption of the resolution expressing consent for the merger of the Issuer with PRKiI.
5. Free conclusions.
6. Closing of the meeting.
Draft resolution of the Meeting of C-Series Bond Holders constitutes appendix no. 1 to this report.
The Bond Holders may participate in the Meeting of C-Series Bond Holders personally or through their attorneys.
The Bond Holder planning to participate in the Meeting of C-Series Bond Holders should present: (i) the name certificate for shares confirming that the Issuer holds C-series bonds and that the bonds valid up to and including the date of the Meeting of C-Series Bond Holders have been blocked, (ii) the extract from the National Court Register or other register or records, in case of C-Series Bond Holders other than legal entities (not older than 3 months) and (iii) the identity card. If the C-Series Bond Holder participates in the Meeting of C-Series Bond Holders through the attorney, apart from the documents mentioned in points (i) and (ii), (s)he should also produce (iv) the original power of attorney and (v) the identity card of the attorney.
If the Meeting of C-Series Bond Holders is adjourned, the Bond Holder should produce the above-mentioned documents at another Meeting of C-Series Bond Holders, which are valid as for the date of reopening of the Meeting of C-Series Bond Holders.
Legal basis: Article 56 sec. 1 point 1 of the act on public offering and conditions of financial instruments introduction into an organised trading system and on public companies; Article 1 (c) point (i) of the Regulations of the Meeting of C-Series Bond Holders; Article 11.1 of the Terms and Conditions of the Issue of C-Series Bonds.
