76/2013 - Information on the change in the holdings

The Management Board of Trakcja S.A. ("Company") hereby informs that pursuant to Article 69 sec. 1 point 1 of the Act of 29 July 2005 on public offering and conditions of financial instruments introduction into an organised trading system and on public companies ("Act on Public Offering"), on 9 October 2013, the Company received a notice from UAB "NDX energija" (hereinafter referred to as the "Subject"), located in Vilnius (Ozo pp. 25, LT-07150), Lithuania, informing that it does not hold any shares in the company Trakcja Spółka Akcyjna any longer, which entitled to exercise voting rights at the General Meeting of Shareholders of the Company.

As a result of the transaction made on the regulated market on 4 October 2013, the Subject sold in total 21,498,725 shares of the Company, which constituted 5.228% of shares in the Company's capital entitling to 21,498,725 votes, which corresponded to 5.228% of votes at the General Meeting of Shareholders. The Subject hereby reduced its share in the Company to the level below 5% of the total votes at the General Meeting of Shareholders.

Before the transaction, the Subject held 22,058,547 shares representing 5.364% of shares in the share capital entitling to 22,058,547 votes at the General Meeting of the Company, which constituted 5.364% of the total number of votes.

Furthermore, the Subject informed that none of the subsidiaries held shares in the Company.

On the basis of the notice, it is also evident that neither the Subject nor any company from the group of companies did conclude an agreement pursuant to Article 87 sec. 1 point 3 (c) of the Act on Public Offering, the subject matter of which was the transfer of  a voting right at the General Meeting of the Company.

On the basis of additional explanations of NDX energija, the company - after having completed the above-mentioned transaction - entered into another transaction, as a result of which it sold all the remaining shares and currently holds no shares in Trakcja S.A.
