61/2011 - Information about the conclusion of a material agreement

The Management Board of Trakcja - Tiltra S.A. (“the Company”) hereby announces that on 8 August 2011 the
Company was informed by its subsidiary, Poldim S.A. with its registered office in Tarnów (“Poldim”), that from the
moment of the Company’s taking control over Poldim (19.04.2011) the turnover of Poldim with Orlen Asfalt sp. z
o.o. with its registered office in Płock (“Orlen”), on the basis of a trade agreement for the purchase of asphalt
concluded between Poldim and Orlen on 16 March 2010 (the “Agreement”), exceeded the material value.
The total value of turnover from the day of taking control to 8 August 2011 amounted to net PLN 65,115,095.00
(say: sixty-five million one hundred fifteen thousand ninety-five zlotys).
The order of the highest value was the order of 4 August 2011 (the “Order”).
Value of the Order:
Total net value of the Order: 212,550.00 (two hundred twelve thousand five hundred fifty zlotys).
Subject of the Order
On the basis of the Order Poldim sold to Orlen 100 tonnes of Bitrex 35/50.
Contractual penalties:
None
Terms and conditions of the agreement do not differ from those commonly used for this type of agreements.

The value of the abovementioned Agreement exceeds 10% of the equity capital of Trakcja - Tiltra SA
Legal basis: § 5, paragraph 1, point 3 of the Regulation of the Minister of Finance dated 19 February 2009 on the
current and periodic disclosures to be made by issuers of securities and conditions for recognition as equivalent
of information whose disclosure is required under the laws of a non-member state.
