20/2013 - Announcement on a change in the total number of votes held

 

The Management Board of Trakcja S.A. (“Company”) hereby informs that pursuant to Art. 69 par. 1 point 1 in relation with Article  87 par. 1 point 3 letter b of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to organized trading system and on public companies (“Act on Public Offering”), on 5 March 2013 the Company received from Pioneer Pekao Investment Management S.A. (“PPIM”) a notification concerning an increase in its total participation to the level of 16.54% of the total number of votes at a General Meeting of the Company with regard to financial instruments included in the financial instruments portfolios managed by PPIM as part of its services, as a result of: (i) exchanging 131 series D bonds issued by the Company for 119,090,904 series H shares in the Company (including 58,181,815 shares taken up by all the customers of PPIM with regard to the portfolios managed by PPIM) and increasing the share capital of the Company, of which the Company informed in current report no. 15/2013 of 28 February 2013, and (ii) selling 100,000 series H shares in the Company at the regulated market, both taking place on 28 February 2013.

 

As a result of both of the above transactions, the financial instruments portfolios managed by PPIM as part of its services include 58,081,815 shares in the Company constituting 16.54% of the share capital of the Company. These shares entitle to 58,081,815 votes at a general meeting of Company, which constitutes 16.54% of the total number of votes.

The Company also informs that PPIM, in the performance of the agreement on the management of the investment portfolio of funds concluded between Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A. and PPIM, and acting pursuant to Article 69 par. 1 point 1 in relation with Article  87 par. 1 point 2 letter a of the Act on Public Offering, notified the Company that the shareholders holding the votes referred to above are the funds created by Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A.:

- Pioneer Fundusz Inwestycyjny Otwarty, and

- Pioneer Obligacji - Dynamiczna Alokacja Fundusz Inwestycyjny Otwarty.

Moreover, the Company informs that PPIM, in the performance of the agreement on the management of the investment portfolio of funds concluded between Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A. and PPIM, and acting pursuant to Article 69 par. 1 point 1 of the Act on Public Offering, acting on behalf of Pioneer Fundusz Inwestycyjny Otwarty (“PFIO”), informed the Company of an increase in the participation of PFIO to the level of 13.96% of the total number of votes at a General Meeting of the Company with regard to shares included in the portfolio of the fund managed by PPIM as part of its investment portfolio management services, as a result of: (i) exchanging 131 series D bonds issued by the Company for 119,090,904 series H shares in the Company (including 49,090,906 series H shares taken up by PFIO) and increasing the share capital of the Company, of which the Company informed in current report no. 15/2013 of 28 February 2013, and (ii) PFIO’s selling of 65,000 series H shares in the Company at the regulated market, both taking place on 28 February 2013.

 

As a result of both of the above transactions, PFIO holds 49,025,906 shares in the Company constituting 13.96% of the share capital of the Company. These shares entitle to 49,025,906 votes at a general meeting of Company, which constitutes 13.96% of the total number of votes.

According to the information provided by PPIM, further investment decisions are going to be taken based on a fundamental analysis of the Company. The purchase or sale decisions may also be affected by the deposits / withdrawals of customers. Investing in the Company is aimed at increasing the value of the portfolios managed by PPIM.
