29/2013 - Announcement on a change in the total number of votes

The Management Board of Trakcja S.A. (“Company”) hereby informs that pursuant to Article 69, sec. 1 point 1 with relation to Article  87, sec. 1 point 3 letter (b) of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to organised trading system and on public companies ("Act"), on 22 March 2013 the Company received a notice from Pioneer Pekao Investment Management S.A. ("PPIM") regarding a decrease of the total exposure to 13.94% of the total number of votes at the General Meeting of the Company with respect to financial instruments being part of the portfolios managed by PPIM within its services related to the management of financial instrument portfolios due to the conversion of 66 D series bonds issued by the Company into 60,000,000 H series shares of the Company and increase of the Company's share capital on 19 March 2013, about which the Company informed in current report no. 23/2013 of 19 March 2013.

Prior to the conversion, 57,304,712 of the Company's shares being part of the portfolios managed by PPIM within its services related to the management of financial instrument portfolios constituted 16.32 % of the share capital of the Company. These shares entitled to 57,304,712 votes at the General Meeting of the Company, which constituted 16.32% of the total number of votes.

Due to the above-mentioned conversion and increase of the share capital of the Company, 57,304,712 of the Company's shares being part of the portfolios managed by PPIM within its services related to the management of financial instrument portfolios currently constitute 13.94% of the share capital of the Company. These shares entitle to 57,304,712 votes at the General Meeting of the Company, which constitutes 13.94% of the total number of votes.

The Company also informs that PPIM, in the performance of the agreement on the management of the investment portfolio of funds concluded between Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A. and PPIM, and acting pursuant to Article 69, sec. 1 point 1 with relation to Article  87, sec. 1 point 2 letter (a) of the Act, notified the Company that the shareholders holding the votes referred to above are the funds created by Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A.:

- Pioneer Fundusz Inwestycyjny Otwarty, and

- Pioneer Obligacji - Dynamiczna Alokacja Fundusz Inwestycyjny Otwarty.

Moreover, the Company informs that PPIM, in the performance of the agreement on the management of the investment portfolio of funds concluded between Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A. and PPIM, and acting pursuant to Article 69, sec. 1 point 2 of the Act, on behalf of Pioneer Fundusz Inwestycyjny Otwarty ("PFIO") shall inform the Company on any decrease of the total exposure of PFIO to 1.77% of the total number of votes at the General Meeting of the Company with respect to shares of the portfolio of funds managed by PPIM within its services of the management of the investment portfolio of funds due to conversion of 66 D series bonds into 60,000,000 H series shares of the Company and increase of its share capital on 19 March 2013, about which the Company informed in current report no. 23/2013 z 19 March 2013.

Prior to the conversion, the Company's shares held by PFIO in the total number of 48,398,447 constituted 13.78% of the share capital of the Company. These shares entitled to 48,398,447 votes at the General Meeting of the Company, which constituted 13.78% of the total number of votes.

Due to the above-mentioned conversion and increase of the share capital of the Company, the Company's shares held by PFIO in the total number of 48,398,447 currently constitute 11.77% of the share capital of the Company. These shares entitle to 48,398,447 votes at the General Meeting of the Company, which constitutes 11.77% of the total number of votes.
