4/2013 - Information on concluding a material contract

The Management Board of Trakcja S.A. (hereinafter: "Company") hereby informs that this day, i.e. 23 January 2013 it was informed that on 22 January 2013, the Company's subsidiary, i.e. AB Kauno tiltai (joint-stock company) with its seat in Kaunas, Lithuania (hereinafter:  "AB Kauno tiltai") concluded a material contract (hereinafter: "Contract") with  the Lithuanian Road Administration under the Ministry of Communications in Vilnius, Lithuania (hereinafter: "Customer").

Value of the Contract:

the total net value of the Contract, converted into PLN, amounted to: PLN 112,535,273.30

the total net value of the Contract, converted into PLN, amounted to: PLN 136,167,680.69

Subject Matter of the Contract:

Under the Contract, AB Kauno tiltai was commissioned to perform construction works related to reconstruction of road E85 (Vilnius-Kaunas-Klaipeda) of a Trans-European network connected with reconstruction of the road and improving traffic safety.

Term of performance of the Contract:

The abovementioned construction works shall be performed within 12 (twelve) months as of the entry into force of the Contract.

Stipulated damages:

The amount of damages for a delay in works performance: 0.02 % of the net value of works failed to be performed, per every day of delay.

The maximum amount of damages for a delay in works performance shall amount to 20% of the net value of Contract.

Other terms and conditions are similar to those commonly used for these type of contracts.

The criterion for recognition of the Contract as material is the fact that its value exceeded 10% of the Company's equity capital.

Legal basis: § 5 paragraph 1, point  3 of the Ordinance of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state.
