63/2012 - Notice of reduction in the currently owned shares of over 10 per cent by at least 2 per cent of the total number of votes at the Shareholders' General Meeting.

The Management Board of the company Trakcja - Tiltra S.A. ("Company") informs that pursuant to Article 69 of the Act on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies ("Act on Public Offering"), on November 9, 2012, it received a notice that a shareholder of the company Invalda AB, the company incorporated under Lithuanian law ("Invalda"), sold part of the shares held in the Company as of October 4, 2012, on the basis of transactions concluded on the Warsaw Stock Exchange. Due to the sale of shares, the interest of Invalda as at October 31, 2012 in the number of votes at the Company's Shareholders' General Meeting decreased by 2,352 per cent of the total number of votes. With respect to the above-mentioned change, the number of the Company's shares held by Invalda is 23,559,620 (i.e. 10,150 per cent of the Company's share capital), entitling to 23,559,620 votes at the Shareholders' General Meeting, i.e. 10,150 per cent of the total number of votes at the Shareholders' General Meeting.

 

Prior to the said change, Invalda held 29,017,087 shares in the Company, constituting 12,502 per cent of the Company's share capital, 29,017,087 voting shares at the Shareholders' General Meeting, i.e. 12,502 per cent of the total number of votes at the Shareholders' General Meeting.

 

Invalda informed the Company that further decrease or increase in the interest in the Company's share capital, within 12 months, shall depend on the market situation. Furthermore, Invalda informed the Company that its subsidiaries do not hold any shares in the Company and that Invalda did not enter into any agreements for transfer of voting rights in the Company, as mentioned in Article 87 sec. 1 point 3(c) Act on Public Offering.
