42/2012 - Information on the appointment of Mr Jorge Miarnau Montserrat for the position of a Member of the Supervisory Board

The Management Board of Trakcja-Tiltra S.A. (the “Company”) hereby informs that today, i.e. on 4 July 2012, COMSA S.A. with its registered office in Barcelona, a shareholder of the Company, on the basis of Article 13, paragraph 4 of the Company Statutes, appointed Mr Jorge Miarnau Montserrat for the position of a Member of the Supervisory Board.

Required information on the appointed person:

Mr Jorge Miarnau Montserrat has a university degree. He has a degree in engineering (1987) and a Master’s degree in construction companies management granted by Fundacion Agustin de Betancourt in Madrid (1989). Mr Jorge Miarnau Montserrat also completed the General Management Program for managing directors organised by IESE Business School in Barcelona (1997).

Previously held positions and professional career:

from 1999 to 2003 – Director responsible for railways – GRUPO COMSA S.A. (at present GRUPO COMSA EMTE )

from 2001 to 2003 – Member of the Board of Directors – GRUPO COMSA S.A. (at present GRUPO COMSA EMTE )

since 1998 until present – President – GRUPO COMSA S.A.  (since 2009 – GRUPO COMSA EMTE)

Until 29 June 2012, Mr Jorge Miarnau Montserrat held the position of the Chairman of the Supervisory Board of the Company. Moreover, Mr Jorge Miarnau Montserrat is now holding the position of the president of the European Federation of Railway Trackworks Contractors (EFRTC) and Asociacion de Empresas Constructoras de Alta Especializacion Ferroviaria (ECAEF). He is also a member of boards of directors in the following companies: COMSA EMTE, S.L., COMSA EMTE MEDIO AMBIENTE S.L.U., COMSA EMTE CONCESIONES S.L.U., COMSA EMTE T&L S.L.U., COMSA S.A.U., COMSA EMTE ENERGÍAS RENOVABLES,S.L.U., EMTE S.L.U., IOSA INMUEBLES S.L.U., TAMISA AGRICOLA,S.L., T.I.2009,S.L., VATAPA INVERSIONES,S.L., SHERATAN MANAGEMENT,S.L., TAMISA INVERSIONES,S.L.,FUNDACIÓN PRIVADA COMSA EMTE, FUNDACIÓN PRIVADA MIARNAU, CUARCITAS DEL MEDITÉRRANEO S.A.,TRAVIPOS,S.A.,ICONUS S.L., UBLADESA S.A.,EMTE SISTEMAS,S.A.U.,ADASA SISTEMAS,S.A.U., ARITEX CADING,S.A., LOGISTICA PENINSULAR XXI,S.L., ASEPEYO, and FERGRUPO CONSTRUÇOES E TÉCNICAS FERROVIARIAS,S.A.

According to the submitted declaration, Mr Jorge Miarnau Montserrat:

• does not engage in competitive activities to the Company;
• does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;
• is not a partner in another competing commercial law partnership;
• is not a shareholder of another competing capital company;
• does not participate in another competing legal person as a member of its governing body;
• is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.
