74/2011 - Information on appointment of a managing person
The Management Board of Trakcja-Tiltra S.A. (the “Company”) would like to inform that on 28 October 2011 the Supervisory Board of the Company adopted a resolution on appointing Mr Roman Przybył as Vice-President of the Management Board, as of 28 October 2011.
Required information on the appointed managing person:
Mr Roman Przybył has a university degree: he graduated from a full-time course at the Warsaw University of Technology, obtaining the degree of Master of Science in Engineering. He has also completed the following post-graduate courses: Investment Project Management at the Faculty of Civil Engineering, Warsaw University of Technology; Construction Expert at the Department of International Trade, Main School of Planning and Statistics (today Warsaw School of Economics); Applied Linguistics, University of Warsaw; Financial Strategies at the University of Banking, Finance and Management; Graduate Certificate of Business Administration at a one-year full-time course at the Swinburne University in Melbourne, Australia.
Roman Przybył has also taken part in numerous training sessions on management, e.g. in INSEAD in Fontainebleau,
IMD in Lausanne, Instituto de Empresa in Madrid, Graduate School of Business University of Chicago, Fudan University School of Management in Shanghai.
Previously held positions and professional career:
in the years 1981–1985 – one by one the following positions: site engineer, site manager in PIP Instal Warszawa,
in the years 1986–1987 – site manager in Mosul, for Instalexport,
in the years 1988–1989 – contract manager in Abu Dhabi, for Instalexport,
in the years 1990–1993 – project manager in Budimex Engineering and Construction, e.g. in the Federal Republic of Germany, South Africa, USA,
in the years 1994–1995 – sales director in Budimex Soft,
in the years 1996–1997 – investment director in Creditanstalt Sankt-Gallen Fund Management,
in the years 1998–2003 – vice-president of the management board for strategy and business development in Lafarge Gips Polska,
in the years 2004–2011 – president of the management board and chief executive officer for Elektromontaż Poznań S.A.,
from 4 July 2011 to the day of appointment – the Management Board’s Representative for Integration of the Trakcja-Tiltra Capital Group.
In addition, Roman Przybył has performed the function of a member of supervisory boards of a number of capital companies,
including: Lafarge Cement Polska S.A., ZPW Grajewo S.A., ZPG Dolina Nidy, Budostal-5, Chemet,
For many years he has been elected as member of governing bodies of Polish and European industry associations. He has performed, inter alia, the following functions: president of the Polish Plaster Association, president of the Polish Electrical Installation Association, member of the management board of EUROGYPSUM. At present, he is the vice-president of CEPMC – Council of European Producers of Materials for Construction.
According to the submitted declaration, Roman Przybył:
- does not engage in competitive activities to the Company;
- does not pursue private interests and does not perform other duties which would be in a conflict of interests with the duties towards the Company;
- is not a partner in another competing civil law partnership;
- is not a partner in another competing commercial law partnership;
- is not a shareholder of another competing capital company;
- does not participate in another competing legal person as a member of its governing body;
- is not entered into the Register of Insolvent Debtors on the basis of the act on the National Court Register.
