32/2010 - Preparation of the consolidated text of the Company?s Articles of Association
The Management Board of Trakcja Polska S.A., with its registered office in Warsaw, (“Company”) hereby announces that, pursuant to resolution no. 18/2010 of the Annual General Meeting of 20/07/2010, the Company’s Supervisory Board prepared the consolidated text of the Company’s Articles of Association on 20/10/2010, taking into account the amendments introduced into the Articles of Association by the Company’s General Meeting, in particular, the amendments made by Resolution no. 17/2010 of the Annual General Meeting of 20/07/2010. According to the above resolution, Article 8 and Article 10 of the Articles of Association were amended, the wording of the above Articles before the amendment being as follows:
“Article 8
1. An Annual General Meeting shall be called by the Management Board no later than within six months of the end of each financial year.
2. Extraordinary General Meetings are called by the Management Board on its own initiative or on the request of the Supervisory Board or Shareholders holding at least 10 % of the share capital. Extraordinary General Meetings may also be called by the Supervisory Board on the principles of the applicable regulations.”
“Article 10
“The General Meeting shall be called by an announcement published in the official journal ‘Monitor Sądowy i Gospodarczy’.”
The wording of the said Articles after registration by the Registration Court is as follows:
“Article 8
1. An Annual General Meeting shall be called by the Management Board no later than within six months of the end of each financial year.
2. The Supervisory Board may call an Annual General Meeting if the Management Board fails to do this at the time specified in the applicable regulations or these Articles of Association.
3. Extraordinary General Meetings are called by the Management Board on its own initiative or on the request of the Supervisory Board or Shareholders holding at least 5 % of the share capital. Extraordinary General Meetings may also be called by the Supervisory Board or the Shareholders on the principles specified in the applicable regulations.”
“Article 10
The General Meeting shall be called by an announcement posted in Trakcja Polska S.A.’s official website at www.trakcja.com and in the manner specified for the provision of current information in accordance with the regulations on the public offering and the conditions for introducing financial instruments into an organised trading system and on listed companies.”
The Company announced the registration of the above amendments to the Articles of Association by the registration court in current report no. 29/2010 of 10/09/2010. The wording of the new consolidated text of the Company’s Articles of Association constitutes an appendix to this current report.
Legal grounds:§ 38(1)(2) of the Regulation of the Minister of Finance of 19 February 2009 on current and regular information published by issuers of securities and the conditions for accepting information required by the provisions of the law of a state which is not a Member State as being equivalent (Journal of Laws no. 33, item 259).
