29/2010 - Registration of Amendments to the Company?s Articles of Association
The Management Board of Trakcja Polska S.A. with its registered office in Warsaw (the “Company”) hereby informs that on 9 September 2010 the Company received from the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, the decision regarding the registration of amendments to the Company’s Articles of Association as made under the Resolution of the Annual General Meeting No. 17/2010 of 20 July 2010. The amended Articles are Article 8 and Article 10 of the Articles of Association. Before the amendment, those two aforementioned Articles of the Articles of Association read as follows:
“Article 8
1. An Annual General Meeting shall be called by the Management Board no later than within six months of the end of each financial year.
2. Extraordinary General Meetings are called by the Management Board on its own initiative or on the request of the Supervisory Board or Shareholders holding at least 10% of the share capital. Extraordinary General Meetings may also be called by the Supervisory Board on the principles of the applicable regulations.”
“Article 10
The Annual General Meeting shall be called by way of announcement published in the official journal Monitor Sądowy i Gospodarczy.”
After the amendment as recorded by the Register Court, the two aforementioned Articles of the Articles of Association read now:
“Article 8
1. An Annual General Meeting shall be called by the Management Board no later than within six months of the end of each financial year.
2. The Supervisory Board may call an Annual General Meeting if the Management Board fails to do this at the time specified in the applicable regulations or these Articles of Association.
3. Extraordinary General Meetings are called by the Management Board on its own initiative or on the request of the Supervisory Board or Shareholders holding at least 5% of the share capital. Extraordinary General Meetings may also be called by the Supervisory Board or the Shareholders on the principles specified in the applicable regulations.”
“Article 10
The General Meeting shall be called by an announcement posted in Trakcja Polska S.A.’s official website at www.trakcja.com and in the manner specified for the provision of current information in accordance with the regulations on the public offering and the conditions for introducing financial instruments into an organised trading system and on listed companies.”
Once the consolidated text of the Articles of Association is compiled by the Supervisory Board as per the Resolution of the Annual General Meeting No. 18/2010 of 20 July 2010, it shall be immediately made known to the public in form of a current report.
Legal grounds: § 38(1)(2) of the Regulation of the Minister of Finance of 19 February 2009 on current and regular information published by issuers of securities and the conditions for accepting information required by the provisions of the law of a state which is not a Member State as being equivalent(Journal of Laws [Dz.U.] No. 33, item 259).
