19/2010 - Information on the appointment of a supervisory board member

The Management Board of Trakcja Polska S.A. (“Company”) announces that, in connection with the end of the term of office and the expiry of the mandates of the members of the Supervisory Board, the Company’s Annual General Meeting adopted a resolution on 20 July 2010, during the 2nd part of the session, having reconvened after the recess, under which it appointed Mr. Tomasz Szyszko to the post of Member of the Company’s Supervisory Board.

 

Required information on the appointed supervisory board member:

Mr. Tomasz Szyszko (51 years old) holds a history degree from the Adam Mickiewicz University in Poznań.

 

Positions previously held and career history:

1988 – 1992 Co-owner of Index and Proinvest

1991 – 1993 Deputy to the Sejm of the Republic of Poland

1993 – 1997 Co-owner and Sales Director at Index sp. z o.o.

1997 – 2001 Deputy to the Sejm of the Republic of Poland

1999 – 2001 Minister of Communications

2001 – 2005 Director – Polfrost Internationale Spedition sp. z o.o.

2004 to date – President of the Management Board of Netcom sp. z o.o.

2005 to date – President of the Management Board of Polfrost Terminal sp. z o.o.

 

Mr. Tomasz Szyszko was a member of the Company’s Supervisory Board during the previous term of office (since 2008).

 

According to his statement, Mr. Tomasz Szyszko:

§  does not conduct competitive activities to those of the Company;

§  does not conduct private business and does not fulfil other duties which would result in a conflict of interests with his obligations to the Company;

§  is not a shareholder or partner in a competitive company or a partner in a partnership;

§  is not a member of an authority of a competitive company;

§  does not appear in another competitive legal person as a member of its authorities;

§  is not listed in the Register of Insolvent Debtors held on the basis of the Act on the National Court Register.

 

Legal grounds:§ 5(1)(22) of the Regulation of the Minister of Finance of 19 February 2009 on current and regular information published by issuers of securities and the conditions for accepting information required by the provisions of the law of a state which is not a Member State as being equivalent (Journal of Laws no. 33, item 259) in connection with Article 56(1) of the Act of 29 July 2005 on the public offering and the conditions for introducing financial instruments into an organised trading system and on listed companies (Journal of Laws no. 184, item 1539, as amended).
