15/2010 - Information on the appointment of a supervisory board member
The Management Board of Trakcja Polska S.A. (“Company”) announces that, in connection with the end of the term of office and the expiry of the mandates of the members of the Supervisory Board, the Company’s Annual General Meeting adopted a resolution on 20 July 2010, during the 2nd part of the session, having reconvened after the recess, under which it appointed Mr. Jorge Miarnau Montserrat to the post of Member of the Company’s Supervisory Board.
Required information on the appointed supervisory board member:
Mr. Jorge Miarnau Montserrat (48 years old) holds a degree. He bears the title of Engineer (1987) and the title of Master of Building Companies Management gained at Fundación Agustín de Betancourtin Madrid (1989). Mr. Jorge Miarnau Montserrat also graduated from the General Management Program for managing directors organised by IESE Business School in Barcelona (1997).
Previously held positions and career history:
1999 to 2003 – Director responsible for railways – GRUPO COMSA S.A. (currently GRUPO COMSA EMTE)
2001 to 2003 – Member of the Board of Directors – GRUPO COMSA S.A. (currently GRUPO COMSA EMTE)
2003 to date – President – GRUPO COMSA S.A. (GRUPO COMSA EMTE since 2009)
Apart from holding the post of Chairperson of the Company’s Supervisory Board in the previous term of office, Mr. Jorge Miarnau Montserrat currently holds the post of President of the European Federation of Railway Trackworks Contractors (EFRTC) and Asociación de Empresas Constructoras de Alta Especializacion Ferroviaria (ECAEF). He is also a member of the boards of directors of the following companies: COMSA EMTE, S.L., COMSA EMTE MEDIO AMBIENTE S.L., COMSA EMTE CONCESIONES S.L., COMSA EMTE T&L S.L., COMSA S.A., IOSA INMUEBLES S.L., FERGRUPO S.A., EMTE GEYCO S.A., EMTE S.A., TAMISA HOTELES S.L., AUTOMETRO S.A., CUARTITAS DEL MEDITÉRRANEO S.A., LOGTAC S.A. ICONUS S.L., UBLADESA S.A. and ASEPEYO.
According to his statement, Mr. Jorge Miarnau Montserrat:
§ does not conduct competitive activities to those of the Company;
§ does not conduct private business and does not fulfil other duties which would result in a conflict of interests with his obligations to the Company;
§ is not a shareholder or partner in a competitive company or a partner in a partnership;
§ is not a member of an authority of a competitive company;
§ does not appear in another competitive legal person as a member of its authorities;
§ is not listed in the Register of Insolvent Debtors held on the basis of the Act on the National Court Register.
Legal grounds: § 5(1)(22) of the Regulation of the Minister of Finance of 19 February 2009 on current and regular information published by issuers of securities and the conditions for accepting information required by the provisions of the law of a state which is not a Member State as being equivalent (Journal of Laws no. 33, item 259) in connection with Article 56(1) of the Act of 29 July 2005 on the public offering and the conditions for introducing financial instruments into an organised trading system and on listed companies (Journal of Laws no. 184, item 1539, as amended).
