44/2009 - Information on the appointment of a manager

The Management Board of Trakcja Polska S.A. (the "Company") hereby announces that the Company’s Supervisory Board adopted a resolution on 30 October 2009 by which it appointed Mr. Tadeusz Bogdan to the post of Vice President of the Company’s Management Board, Director of Railway Construction, on 30 October 2009.  

 

Required information on the appointed manager:

Mr. Tadeusz Bogdan (aged 64) has a technical degree, graduated from the Warsaw University of Technology, Civil Engineering Department, specialisation Iron Roads, and holds the title of MSc Eng.

 

Positions previously held and career history:

1970 to 1974 – Przedsiębiorstwo Robót Kolejowych nr 7 – Construction Engineer

1974 to 1975 – Zakład Badań i Doświadczeń Budownictwa Kolejowego – Specialist

1975 to 1992 - Przedsiębiorstwo Robót Kolejowych nr 7 – subsequently: Construction Manager, Work Group Manager, Work Team Manager

1992 to 31/08/2009 – Przedsiębiorstwo Robót Komunikacyjnych 7 SA – Member of the Management Board, Vice President.

01/09/2009 until the date of nomination – Trakcja Polska S. A., Railway Track and Construction Services Director

 

Furthermore, between May 1999 and June 2002, Mr. Tadeusz Bogdan held the post of Chairperson of the Supervisory Board of Przedsiębiorstwo Automatyki i Telekomunikacji sp. z o.o. in Gdynia.

 

According to his declaration, Mr. Tadeusz Bogdan:

§   does not conduct competitive activities to those of the Company;

§   does not conduct private business and does not fulfil other duties which would result in a conflict of interests with his obligations to the Company;

§   is not a shareholder in a company or a partner in a partnership;

§   is not a member of an authority of another company; 

§   does not appear in another competitive legal person as a member of its authorities;

§   is not listed in the Register of Insolvent Debtors held on the basis of the Act on the National Court Register.

 

Legal grounds: § 5(1)(22) of the Regulation of the Minister of Finance of 19 February 2009 on current and regular information published by issuers of securities and the conditions for accepting information required by the provisions of the law of a state which is not a Member State as being equivalent (Journal of Laws no. 33, item 259) in connection with article 56(1) of the Act on the public offering and the conditions for introducing financial instruments into an organised trading system and on listed companies (Journal of Laws no. 184, item 1539, as amended).
