10/2009 - Notice of transactions on Trakcja Polska S.A.?s securities

Pursuant to Article 160 section 4 of the Act of 29 July 2005 on Trading in Financial Instruments (Journal of Laws No. 183, item 1538) the Management Board of Trakcja Polska S.A. (“Issuer”) announces that on 30 March 2009 it received a notice from Maciej Radziwiłł, holding the post of President of the Issuer’s Management Board, regarding his contribution on 30 March 2009 of 8,750,000 (in words: eight million, seven hundred fifty thousand) shares he held in the Issuer, constituting 5.47% of all shares issued by Trakcja Polska S.A., to a subsidiary, Cresco Financial Advisors spółka z ograniczoną odpowiedzialnością spółka komandytowo-akcyjna [Limited liability company, mixed joint stock and limited liability company] (the “Company”) as a non-cash contribution to cover the Company’s newly issued Series B shares. The Issuer’s shares were valued and contributed to the Company at a value of PLN 4.70 per share.
