75/2022 - Conclusion of annexes to long-term loan agreements

The Management Board of Trakcja S.A. (“Company”) informs that on 11 October 2022 a loan agreement was signed, under which Agencja Rozwoju Przemysłu S.A. extended to the Company a new renewable loan in a total amount of PLN 50,000,000, hereinafter referred to as the “Loan” on the terms specified therein and equivalent to the terms of the existing consortium loan disclosed by the Company in Current Report No. 38/2022 and Current Report No. 54/2022.
For the disbursement of the Loan, the Company must meet conditions precedent indicated in the loan documentation, including, in particular, a replacement of certain elements of the collateral established.
In consideration of the foregoing, the Company signed the long-term loan documentation, including the following documents:
i.    Annex No. 31 of 11 October 2022 to the Renewable Loan and Guarantee Line Agreement of 13 June 2019, as amended (“Loan Agreement”) concluded between the Company and its subsidiaries: TOB Trakcja Ukraina, Torprojekt sp. z o.o., BTW sp. z o.o., PRK 7 Nieruchomości sp. z o.o., Przedsiębiorstwo Produkcyjno - Usługowe DALBA sp. z o.o., Platforma Działalności Międzynarodowej Spółka Akcyjna i Przedsiębiorstwo Eksploatacji Ulic i Mostów sp. z o.o., mBank S.A., Credit Agricole Bank Polska S.A., Bank Gospodarstwa Krajowego and Agencja Rozwoju Przemysłu S.A.;
ii.    Annex No. 11 of 11 October 2022 to the Creditor Agreement of 13 June 2019, as amended, concluded between the Company, the Related Parties, Bank Gospodarstwa Krajowego, Agencja Rozwoju Przemysłu S.A., mBank S.A., Credit Agricole Bank Polska S.A., Bank Polska Kasa Opieki S.A., Credendo - Guarantees & Speciality Risks Societe Anonyme, Sopockie Towarzystwo Ubezpieczeń ERGO Hestia S.A., Korporacja Ubezpieczeń Kredytów Eksportowych S.A., Generali Towarzystwo Ubezpieczeń S.A., Powszechny Zakład Ubezpieczeń S.A., UNIQA Towarzystwo Ubezpieczeń S.A. and COMSA, S.A.U.;
iii.    Annex No. 19 of 11 October 2022 to the Agreement on Common Terms of 27 September 2019, as amended, concluded between the Company, the Related Parties, mBank S.A., Credit Agricole Bank Polska S.A., Bank Polska Kasa Opieki S.A., Bank Gospodarstwa Krajowego and Agencja Rozwoju Przemysłu S.A.;
iv.    Annex No. 11 of 11 October 2022 to the Agreement on Harmonisation of Selected Terms of Guarantees and the Surety Agreement of 13 June 2019,
as amended, concluded between the Company, the Related Parties, Credendo - Guarantees & Speciality Risks Societe Anonyme, Generali Towarzystwo Ubezpieczeń S.A., Korporacja Ubezpieczeń Kredytów Eksportowych S.A., Sopockie Towarzystwo Ubezpieczeń ERGO Hestia S.A., Powszechny Zakład Ubezpieczeń S.A. And UNIQA Towarzystwo Ubezpieczeń S.A.,
(All the aforementioned documents referred to collectively as the “Loan Documentation”).
The Loan Documentation concluded implements the provisions of the Term Sheet, the approval of which was disclosed by the Company in Current Report No. 38/2022.
The meeting of the conditions precedent and the disbursement of the loan will be disclosed by the Company in a separate report.
