79/2019 - Resolutions adopted by the Company’s Extraordinary General Meeting
In connection with the recommendations of the Polish Financial Supervision Authority of 12 March 2020 and own analysis, the Management Board of Trakcja PRKiI S.A. (”Company”) hereby announces the resolutions undertaken by the Company’s Extraordinary Shareholders Meeting, which was held on 11 December 2019.
All voted resolutions with appendices, including the results of voting, are attached to this Current Report as Appendix 1. All draft resolutions, which were subject to voting, were adopted by the Extraordinary General Meeting.
Simultaneously, the Management Board hereby informs that during the Extraordinary Shareholders Meeting one of the shareholders submitted draft resolutions to be included in items 4 and 5 of the Agenda of the Extraordinary General Meeting and these resolutions are presented in the aforementioned Appendix and have been adopted by the Extraordinary General Meeting.
Due to the amendment of draft resolutions, the Company’s Management Board presented the following amended opinions:
- Opinion justifying the reasons for depriving the shareholder of the rights of subscribing F and G series bonds convertible to D series shares, and determining the issue price for bonds; and
- Opinion justifying the reasons for depriving the shareholder of the rights of subscribing ordinary D series bearer shares, and determining the issue price for bonds.
The text of the opinions is presented in Appendices no. 2 and 3 to this Report.
Moreover, the Company’s Management Board hereby informs that the Extraordinary General Meeting did not refrain from reviewing any planned agenda item, and no objections were raised during the meeting.

Article 19.1 subparagraphs 6, 7, 8 and 9 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and conditions for recognizing information required by laws of non-member states as equivalent.
