77/2019 - Changes in the composition of the Supervisory Board of Trakcja PRKiI S.A.

In connection with the recommendations of the Polish Financial Supervision Authority of 12 March 2020 and own analysis, the Management Board of Trakcja PRKiI S.A. (”Company”, “Issuer”) hereby informs that on 4 December 2019 the Company received the resignation of Mr Wojciech Napiórkowski from the function of a Member of the Company’s Supervisory Board effective 4 December 2019.

Simultaneously, the Company’s Management Board hereby informs a shareholder of the Company, Agencja Rozwoju Przemysłu S.A., acting pursuant to Article 13.4.2 of the Company’s Articles of Association, has filed a statement on 4 December 2019 about appointing Ms Klaudia Budzisz as a Member of the Supervisory Board.

Ms Klaudia Budzisz is a graduate of the Faculty of Law and Administration of the Adam Mickiewicz University in Poznan, the Banking and Finance College in Katowice (WSBF), and the Faculty of Management of the Poznan University of Economics and Business. She completed post-graduate studies in EU Law at the Jagiellonian University in Krakow. Ms Budzisz is entered on the list of legal counsels maintained by the Regional Chamber of Legal Counsels in Katowice; she holds the Restructuring Advisor’s licence.

Ms Klaudia Budzisz has a long professional experience in providing legal services to business entities, including in the area of restructuring and corporate services. She ran her own Legal Counsel Office in the years 2009 - 2016. Since May 2016, she has been working at the Agencja Rozwoju Przemysłu S.A., initially as a Deputy Director and then as the Director of the Executive Management Office. She became the Managing Corporate Director in September 2018. Her functions in Agencji Rozwoju Przemysłu S.A. include: President of the Management Board of POL-Euro S.A., and Chairwoman of the Supervisory Board of Euro – Eko Media sp. z o.o. In the years 2016 – 2019, she was the Vice-Chairwoman of the Supervisory Board of Wałbrzyskie Zakłady Koksownicze “Victoria” S.A.

According to the submitted statement, Ms Klaudia Budzisz:

- does not conduct any business activity performed outside of the Issuer’s company, including any activity competitive towards the Issuer;

- she is not a partner of any competitive partnership;

- she is not a partner or a shareholder of any competitive capital company;

- she does not participate in another competitive legal entity as a member of its governing bodies;

- she is not registered with the Register of Insolvent Debtors maintained under the Law on National Court Register.
