35/2014 - Conclusion of material agreement

The Management Board of Trakcja PRKiI S.A. ("Company"), in connection with the current report no. 41/2013 of 10 May 2013, hereby informs about the mutual signing of the annexe ("Annexe") to the material recourse factoring agreement no. 27/2013 dated 10 May 2013 ("Agreement").

The parties to the Agreement are the following:

mFaktoring Spółka Akcyjna, with its registered office in Warsaw (former: BRE Bank Spółka Akcyjna, with its registered office

in Warsaw),

and

Trakcja PRKiI S.A., with registered office in Warsaw.

The Annexe introduces the consolidated text of the Agreement. The funding ceiling as provided for in the Agreement has been changed and

currently is PLN 100,000,000.00 (say: one hundred million Polish zlotys). Other provisions of the Agreement have not been amended.

The criterion for considering the concluded Agreement as material shall be the fact that it exceeded 10% of the Company's equity.

Legal basis: § 5, par. 1 point 3 of the Ordinance of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognising as equivalent information required by the laws of a non-member state.
