70/2011 - Information about the registration of pledge

The Management Board of Trakcja - Tiltra S.A. (hereinafter referred to as: the “Company” or the “Issuer") announces that on 19 September 2011, a subsidiary of the Issuer AB "Kauno tiltai" with its registered office in Kaunas, Lithuania (hereinafter referred to as: “Kauno”) informed the Company about the registration of the pledge on the material value assets of Kauno, in the Lithuanian register of pledges.

1.     Designation of the entity whose assets were pledged: Kauno

2.     Date and method of pledging: 19.09.2011, pledge agreement entered into by Kauno with Nordea Bank Finland Plc and AB DnB NORD Bankas.

3.     Basic characteristics of the pledged assets: the pledge was established on the property rights held by Kauno, i.e., on 51 percent of all the property rights, resulting from the agreement between the Town Council of Vilnius and the consortium partners:  Kauno, UAB “Fegda“, UAB “Alvora” which was announced by the Company in its current report no 56/2011 dated 27 July 2011.

4.     The value of the obligation secured by the pledge amounts to: PLN 213,992,997.88.

5.     The carrying (book) value of the secured assets:PLN 108,616,630.50.

6.     No links between and persons managing or supervising the Issuer and the above mentioned banks and people managing them.

7.     There are no links between Kauno or the Company and the entities for which the pledge was established.

 

The amount of the assets on which the pledge was established exceeds 10% of the equity of Trakcja - Tiltra S.A., and the amount of pledge on the material value assets is at least 100% of the amount of the material value assets on which that right was established.
