43/2021 Notification of the conclusion of an agreement for the sale of real estate and publication of delayed confidential information

In reference to current report No. 20/2018, the Management Board of Trakcja S.A. (the "Company") informs that on October 12, 2021, in connection with the approval granted on November 30, 2018 by the Extraordinary General Meeting of the Company for the sale of selected real estates, the Company signed a sale agreement pursuant to which the Company sold to Dantex spółka z ograniczoną odpowiedzialnością sp. k. the right of perpetual usufruct of real estate located in Warsaw, Targówek district at ul. Oliwska 11 in Warsaw, which is a plot No. 83/5, with an area of 2.0655 ha, from the cadastral region 4-08-21, for which the District Court for Warsaw Mokotów in Warsaw, 9th Land and Mortgage Division, maintains the land and mortgage register number WA3M/00170938/4 ("Real Estate"), for the price of PLN 25,000,000.00 (in words: twenty five million zloty) net, which, according to the concluded sale agreement, the Company shall receive on the day of signing the said agreement.

The Company's Management Board decided to publish the above information due to the fact that the conclusion of the agreement for the sale of the Real Estate will have a significant positive impact on the result of other operating activities of the Company and of the Trakcja Group (the "Group") in Q4 2021. The impact of the above transaction will be recognised in the Company's annual standalone financial statements for 2021 and in the Group's annual consolidated financial statements for 2021.

Therefore, the Company today discloses a confidential information, the public disclosure of which was, on September 30, 2021, by decision of the Management Board of the Company, delayed in accordance with Article 17(4) of MAR.

Content of the delayed confidential information:

On September 30, 2021, Trakcja S.A. ("Company") received from Dantex spółka z ograniczoną odpowiedzialnością sp. k. ("Dantex", "Buyer") a statement in which Dantex declared that after conducting the Due Diligence of the Company's perpetual usufruct right to the real estate located in Warsaw, at ul. Oliwska 11 ("Real Estate"), the results of the Due Diligence are satisfactory to the Buyer. A positive outcome of the Due Diligence of the Real Estate is crucial for the conclusion of the agreement for sale of the Real Estate with the Buyer. This is an important stage in the ongoing negotiations which are expected to result in the sale of the Real Estate by the Company.

The Company announced the planned sale of the Real Estate in current report 20/2018.
