85/2019 - Changes in the composition of the Supervisory Board of Trakcja PRKiI S.A.

The Management Board of Trakcja PRKiI S.A. (”Company”, “Issuer”) hereby informs that on 20 December 2019 the Company received the resignation of Mr Łukasz Rozdeiczer-Kryszkowski from the function of a Member of the Company’s Supervisory Board effective 20 December 2019.

 

Simultaneously, the Company’s Management Board hereby informs a shareholder of the Company, Agencja Rozwoju Przemysłu S.A., acting pursuant to Article 13.4.2 of the Company’s Articles of Association, has filed a statement on 20 December 2019 about appointing Mr Krzysztof Tenerowicz as a Member of the Supervisory Board.

 

Mr Krzysztof Tenerowicz is a graduate of the Faculty of Law in University of Rzeszow. He completed post-graduate management studies in enterprise management at the Cracow University of Economics. In 2016 he obtained a doctor’ degree in economics, specializing in finance, at the Cracow University of Economics.

 

Mr Krzysztof Tenerowicz has management experience in both public and private sector. In the years 2006 - 2011 he worked for Radio Kraków S.A. In the Company, he held the following positions: administrative and technical member of the Management Board; finance, advertising and marketing member of the Management Board; and the General Manager. In the years 2008-2012 he was a member of the Programme Council of TVP Rzeszów and Radio Rzeszów S.A. He was a lecturer at the Business School of the Cracow University of Economics, and the Ignatianum Academy. In addition, since 2011 Mr Krzysztof Tenerowicz is a partner and the President of the Management Board of Krakowska Akademia Profilaktyki  sp. z o.o. sp. k., and since 2012 - a partner and the President of the Management Board of Ad Verbum. Analizy i Rozwiązania sp. z o. o. sp.k.

Mr Krzysztof Tenerowicz is also the co-author and the Vice-President of the Łukasiewicz Institute Fund, as well as the founder and President of the Wladyslaw Grabski Center. Since 2019, he is the expert at the Retail Sale Projects Office of PKN ORLEN S.A. In the years 2016-2017 he was the Vice-Chairman of the Supervisory Board of Wodkan S.A., and since 2018 he is a member and the Vice-Chairman of the Supervisory Board of Dalmor S.A.

 

According to the submitted statement, Mr Krzysztof Tenerowicz:

- does not conduct any business activity performed outside of the Issuer’s company, including any activity competitive towards the Issuer;

- he is not a partner of any competitive partnership;

- he is not a partner or a shareholder of any competitive capital company;

- he does not participate in another competitive legal entity as a member of its governing bodies;

- he is not registered with the Register of Insolvent Debtors maintained under the Law on National Court Register.
